Marchex 2012 Report: $6.3 million domains sold, revenue down by $9 million

Marchex, Inc. (NASDAQ:MCHX) reported yesterday its results for the quarter and the full year ended December 31, 2012.

Full Year 2012 Consolidated Financial Results

  • Revenue for the year ended December 31, 2012 was $138.3 million, compared to $146.7 million in 2011.
  • GAAP net loss applicable to common stockholders was $35.9 million or $1.05 per diluted share for 2012. As discussed in the summary of the fourth quarter 2012 consolidated financial results, this includes the effect of the $16.7 million non-cash pre-tax goodwill impairment and the $16.4 non-cash tax expense. This compares to GAAP net income applicable to common stockholders of $2.7 million or $0.08 per diluted share in 2011.
  • A reconciliation is provided of GAAP diluted EPS to Adjusted Non-GAAP EPS in the financial tables attached to this press release and we encourage investors to examine the reconciling adjustments between the GAAP and non-GAAP measures. Adjusted non-GAAP EPS for 2012 was $0.25, compared to $0.30 in 2011.
  • Adjusted operating income before amortization was $13.4 million for 2012, compared to $19.1 million in 2011. A reconciliation of non-GAAP adjusted operating income before amortization to GAAP operating income (loss) is included in the financial tables attached to this release.
  • Adjusted EBITDA was $17.2 million for 2012, compared to $23.1 million in 2011. A reconciliation of adjusted EBITDA to GAAP net cash provided by operating activities is included in the financial tables attached to this release.

Fourth Quarter 2012 Consolidated Financial Results:

  • Revenue was $34.0 million for the fourth quarter of 2012, compared to $39.0 million for the same period of 2011.
  • GAAP net loss applicable to common stockholders was $34.7 million for the fourth quarter of 2012 or $1.02 per diluted share, which includes the effect of an estimated pre-tax $16.7 million non-cash impairment charge based on the preliminary results of the company’s goodwill impairment tests and a non-cash charge to income tax expense of $16.4 million to establish a valuation allowance on certain deferred tax assets. Marchex began segmenting its Archeo financial results this quarter and the goodwill amounts allocated to Archeo initiated the non-cash goodwill charge. This compares to GAAP net income applicable to common stockholders of $920,000 or $0.03 per diluted share for the same period of 2011. The fourth quarter 2012 results included non-cash stock-based compensation expense of $3.3 million, compared to non-cash stock-based compensation expense of $3.7 million for the same period in 2011.
  • We provide a reconciliation of GAAP diluted EPS to Adjusted Non-GAAP EPS in the financial tables attached to this press release and we encourage investors to examine the reconciling adjustments between the GAAP and non-GAAP measures. Adjusted non-GAAP EPS for the fourth quarter 2012 was $0.05, compared to $0.08 for the same period in 2011.
  • Adjusted operating income before amortization was $2.6 million for the fourth quarter of 2012, compared to $5.5 million for the same period of 2011. A reconciliation of non-GAAP adjusted operating income before amortization to GAAP operating income (loss) is included in the financial tables attached to this release.
  • Adjusted EBITDA was $3.5 million in the fourth quarter of 2012, compared to $6.5 million for the same period of 2011. A reconciliation of adjusted EBITDA to GAAP net cash provided by operating activities is included in the financial tables attached to this release.

General Highlights:

1. Call-Driven and other related Revenues: For the fourth quarter of 2012, revenue was $28.5 million, which was impacted during the fourth quarter due to damage from Hurricane Sandy and the resulting reduced call volume and telecommunication systems disruption.

2. Archeo Non-Call-Driven Revenues: For the fourth quarter, revenue was $5.5 million, which was stable with the prior quarter. Archeo non-Call-Driven products include Marchex’s domain and directory assets, pay-per-click and reputation management products.

3. During the fourth quarter, Marchex sold a small number of domains that yielded $863,000, bringing the total for the full year 2012 to $6.3 million.

4. During the fourth quarter, Marchex purchased 22,000 shares of its outstanding Class B common stock for a total price of $87,000. This brings Marchex’s total shares repurchased under its stock repurchase program to 11.3 million shares, or 30% of its outstanding common stock.

5. In November 2012, Marchex announced that its board of directors has authorized management to pursue the separation of its business into two distinct, publicly traded entities. Upon closing of the proposed tax-free spin-off transaction, Marchex’s existing shareholders would hold interests in: (1) Marchex, a pure-play mobile advertising company focused on calls; and (2) Archeo, Inc. 6. Marchex is in the process of completing its goodwill and intangible asset impairment test and deferred tax valuation allowance analysis. These preliminary non-cash charge estimates, and the related tax impact, may change. Accordingly, fourth quarter 2012 and full year 2012 GAAP operating results included in this press release are preliminary and subject to change. GAAP operating results will be included in the Marchex’s annual report on Form 10-K. The tax valuation allowance reflects the company’s assessment of whether the deferred tax assets will be more likely than not realizable in the future, but has no effect on the company’s ability to utilize deferred tax assets, such as loss carryforwards and tax credits, to reduce future cash tax payments.

Did the buyer of the domain Mobile.xxx also buy Mobil.xxx or not?

ICM Registry announced on the 4th of February the sale of the domain name Mobile.xxx to a European mobile experts SGM Media GmbH, the “SexGoesMobile” company. The domain was sold for $160,000 and ICM Registry also announced that the Mobile.xxx owner, SGM Media, also acquired 350 additional .xxx domains for its affiliate network.

While I believe that most of the additional .xxx domains were hand registrations I have some doubts as to who bought the domain name Mobil.xxx that I reported as sold on the 17th of January for $2,805. Was it SGM Media GmbH that bought the domain name just 2 weeks earlier that the purchase of Mobile.xxx or was it some other company?

Mobile.xxx whois details clearly SGM Media as the owner but Mobil.xxx is behind whois privacy. Both domains are registered with the Mesh Digital Limited (Domainmonster.com) that is a UK registrar that was recently acquired by Host Europe Group that is the largest privately-owned hosting group in Europe.

Or was it Mobil a major American oil company which merged with Exxon in 1999 to form ExxonMobil that got in time and bought Mobil.xxx defensibly?

.eu Registrar Satisfaction Survey 2012 Results (infographic)

EURid, the .eu registry, announced today the results of the latest registrar satisfaction survey. The most important finding of the survey is that 94% of the registrars that took part were either satisfied or extremely satisfied with EURid’s overall service. While this percentage is only up 1% from the 2011 survey, the result is actually an improvement, since the number of registrars giving a rating of “extremely satisfied” has increased significantly for the second year in a row (51% in 2012 compared to 43% in 2011).

Nominet delays “Direct.uk”: looking for a revised proposal

Nominet announced today, following its Board meeting yesterday, it will not proceeding with their original proposal on ‘direct.uk’ but will respond to feedback by looking at whether a revised proposal will address issues raised in the recent consultation. Nominet planned to introduce shorter domains (e.g. nominet.uk rather than nominet.co.uk) I think that the biggest problem will be the contention between different applicants for the same domain name.

Nominet received extensive feedback from a wide range of stakeholders including formal and informal responses.  They said that they “listened and carefully considered all the points made.”  All responses were available to the board, along with a report on the feedback that contained a summary of responses and analysis of the data.
It was clear from the feedback that there was not a consensus of support for the direct.uk proposals as presented, with some concerns cutting across different stakeholder groups. Although shorter domains (e.g. nominet.uk rather than nominet.org.uk) were considered desirable, many respondents felt that the release mechanism did not give enough weighting to existing registrants, and could lead to confusion if they could not obtain the corresponding domain.
The objective of raising trust/security was welcomed, but many disagreed with the proposed approach, suggesting that standards should be raised across the whole of the namespace. On individual security features, there was qualified support for options such as DNSSEC, but scepticism about whether the proposed trustmark would be effective. There was significant support for address validation, though some would like us to do more, and others would like us to do the validation process differently. There was clear support that the sale of domain names should be only through registrars who could meet a level of service and data quality.
As a result, Nominet is going to explore whether it is possible to present a revised proposal that meets the principles of increasing trust and security and maintaining the relevance of the .uk proposition in a changing landscape.
Over the coming months, this work will explore:
  • A revised phased release mechanism based largely on the prior registrations of domains in existing third levels within .uk and in which contention between different applicants for the same domain name should be reduced or eliminated.
  • Measures to improve security across the whole of the .uk namespace. This would include increased focus on encouraging the adoption of DNSSEC.
  • A firm focus on registrant verification and some form of UK presence.
  • Further investigations into the impact on the SME sector.
  • An appropriate pricing model.

The Board plans to review progress at their June meeting, where they would decide whether there is an alternative option that addresses the concerns raised in the consultation.  This would be subject to further consultation prior to any final decision being made.

Should the new shorter .uk suffix be introduced, Nominet has committed to continuing to support the existing third level domains (e.g .co.uk).
While Nominet needs more time to work on the details of the revised proposal or release mechanism, in light of the high level of interest in this issue, they wanted to let everyone know the proposed next steps as soon as possible.

Arab Center for Domain Name Dispute Resolution (ACDR) headed to be the 5th UDRP provider?

ICANN published the Agenda for the “ICANN Special Board Meeting” that is being held on the 28th of February. Included in the “consent agenda” is the topic “Arab Center for Dispute Resolution’s Proposal to Serve as UDRP Provider” which implies that ACDR is going to be approved and will become the 5th UDRP provider under ICANN.

ICANN had received a proposal from the Arab Center for Domain Name Dispute Resolution (ACDR) in September 2010 to be recognized as one of the official dispute resolution providers under the UDRP. The proposal was submitted pursuant to the process specified at http://www.icann.org/en/dndr/udrp/provider-approval-process.htm.

The ACDR is jointly established by the Arab Intellectual Property Mediation and Arbitration Society (AIPMAS) and the Arab Society for Intellectual Property (ASIP), with headquarters in Amman, Jordan and additional offices in other Arab Countries. Both the AIPMAS (established in 1987) and ASIP promote the activities of the Arab Center of Mediation and Arbitration, established in 2003, active in resolving conflicts related to intellectual property through international arbitrators. If approved, the ACDR would be the first Approved UDRP Dispute Resolution Service Provider headquartered in an Arab state.

In October 2010 ICANN had requested comments to be submitted on the ACDR proposal and there were a few parties that were opposed to the proposal such as the Internet Commerce Association – ICA and George Kirikos:

.info price increases by 10% to $8.16 on September 1st 2013

Yesterday, February 26 2013, Afilias Limited send a notice to ICANN that they will be increasing the annual wholesale .INFO domain registry fee to $8.16 (including the ICANN fee), effective September 1, 2013, following the required six month notice to Registrars. This is the Maximum Service Fee (as defined in the .INFO Registry Agreement) for annual increments of initial and renewal domain name registrations (including renewals associated with transfers from one ICANN-accredited registrar to another) in the .INFO registry.

The annual domain name registration and renewal fees will increase by USD $0.74 from the current USD $7.42 per year to a maximum of USD $8.16 per year. That is an almost 10% price increase. All prices include the ICANN fee.

Afilias Limited, the .info registry, a per the ICANN registry contract can increase the wholesale price of .info domain names up to 10% every year. The previous increase was done on July 1, 2011 (from $6.75 to $7.42), including the ICANN fee. That was about 10% increase.

On February 22 2013, Neustar Inc. announced they will be increasing the annual wholesale .BIZ domain registry fee to $8.63 per year, effective September 1, 2013.

In December, PIR, the .org domain name registry, announced a price increase in .org effective July 1st 2013. Registrar price for .org will increase from $7.45 to $8.19. If you add the $0.25 ICANN fee the .org wholesale price will be at $8.44 in July.

Verisign announced that the .net registry fee will be increased from $5.11 to $5.62 effective July 1, 2013 as well.

On November 30th Verisign, Inc., the registry operator for .com, got it’s contact renewed for another 6 years but although Verisign got the contract renewal, it lost the right to raise the wholesale price of .com for the next 6 years. .com price will stay at $7.85 plus the ICANN fee.

My 4-figure domain name purchases at auctions in 2012

Here is a list of my 4 figure domain name purchases at drop/expired auctions in 2012. I also buy domains from other venues like Sedo or Buy Domains and directly from the domain name owners but I haven’t included these purchases here. I think that it would be interesting for some people to see what I have bought in the past year at auctions. I will not post the exact purchase prices but all domains were bought for more than $1k and less than $5k. Of course I haven’t listed any of the domains that I bought for less than $1k that make the bulk of my purchases. Here is the complete 4-figure list:

I bought another domain name at Go Daddy for $1,005 but the auction was reversed and the payment was refunded. I didn’t make any 4 figure auction purchases at Snapnames and Backorder Zone although I use their services frequently.

As you can see I don’t buy many brandable domains and certainly not for 4 figures. What do you think of these purchases?

Ron Paul splits original UDRP complaint for RonPaul.com and RonPaul.org into 2 separate complaints

Ron Paul split the original UDRP complaint for the domains RonPaul.com and RonPaul.org into 2 separate complaints, one for each domain name.

Ron Paul originally filed a cybersquatting UDRP complaint at the World Intellectual Property Organization (WIPO). The original complaint with case number D2013-0278 was filed for two domain names RonPaul.com and RonPaul.org but now only has RonPaul.com in it. The complaint is still pending compliance review almost 20 days after it was filed and that is because one of the two domains in the complaint had to be removed because the 2 domains are owned by different entities. UDRP complaints can’t be filed against more than one respondents.

The 2 domain names are owned by 2 different companies that are both based in Panama.

The WIPO new case number for RonPaul.org is D2013-0371 and this complaint is also pending compliance review.

This delay has given the owners more time since the respondents have 20 days to prepare a response after a case has commenced and the 2 cases have not commenced yet. Usually a decision is published within one to two months after a case is commenced.

ICANN Releases String Similarity Contention Sets for New gTLDs

ICANN released today the string similarity contention sets for New gTLD program. ICANN focused on the visually similar gTLD strings that resulted in only 2 “Non-Exact Match Contention Sets”:
.hotels & .hoteis (small l is visually similar with small i) and
.unicorn & .unicom (rn is visually similar to m)

It seems that ICANN followed the new gTLD “Applicant Guidebook”:
“a contention set is a group of two or more applications containing identical or visually similar applied-for gTLD strings.”

There are 230 exact match contention sets as expected and 754 total applications in contention. It seems that not even singular and plural of the same word is considered as visually similar. e.g. .hotel and .hotels

Sedo sells 844 domains worth $1.6 million: VagaDeEmprego.com sells for 60k EUR and ThrillOfTheGrill.com for 30k USD- Week 18/2-24/2 2013

One 3 word domain and one 4 word domain lead this week’s Sedo sales report: VagaDeEmprego.com sells for 60k EUR and ThrillOfTheGrill.com for 30k USD.

This week, 844 transactions (763 last week) took place on Sedo’s marketplace and via SedoMLS, totaling $1.6 million ($1.2 last week). Only 279 domains (215 last week) were reported by Sedo this week. The other domains were either private sales or domains that sold for less than 700 USD/EUR/GBP. Over 42% (45% last week) of total sales were the result of Buy Now listings. 45% is quite an impressive portion of total sales. Sedo will not reveal what is the Buy Now percentage of the public sales vs the percentage of the private sales. And will not reveal what percentage of the total sales value do the Buy Now listings represent.

The average domain name sales price was $1,896 ($1,572 last week).
